Board of Directors
The eight directors of the Noridian Healthcare Solutions board bring unique talent and ability and are responsible for using their business judgment in good faith and to act in the best interest of Noridian. The board includes:
- Three independent directors with no material relationship with Noridian, other than serving on the Board
- Director previously employed by the Centers for Medicare & Medicaid Services (CMS) and most recently consulting for CMS
- No health care provider or affiliate
- Three women directors
- Limitations of four three-year terms, for a total of 12 years
Two Standing Committees
The Audit, Compliance and Governance Committee is responsible for reviewing with the Board the appropriate skills and characteristics required of Board members in the context of the current make-up of the Board. This assessment includes issues of judgment, diversity, skills and experience, such as understanding of the government contracting business, government regulation, data and information processing, all in the context of the needs of the Board at the time of the assessment. The Committee makes recommendations to the Board regarding Board composition and director selection. NMIC elects the members of the Board. A director who elected to begin her service in January 2019, who has served in recent years as a consultant, has a number of years of experience working at the Centers for Medicare & Medicaid Services, Noridian’s largest customer.
The second Board committee is the Finance and Human Resources Committee. The purpose of this committee is to oversee all areas of finance that are delegated to the committee including reviewing recommendations as to compensation and benefits philosophy and Noridian’s annual budget.
